www.healthclick.com is a service of North American Seminars, Inc., a Delaware Corporation. This site and its services are intended for medical professionals over the age of 18. The information on this website is not intended to diagnose, treat, cure, prevent disease, injuries, and any illness whatsoever. The information provided on this site is for informational purposes only and is not intended as a substitute for advice from your physician or other health care professional. You should not use the information on this site for diagnosis or treatment of any health problem or for prescription of any medication or other treatment. The information and content provided in the course and on this site are for informational purposes only. Neither North American Seminars, Inc or its agents/instructors assume any responsibility for any loss or damage to persons or property arising from the use of the material contained or related to the online material/courses. North American Seminars, Inc. makes no warranties and bears no responsibility for the use of the information or validity of the content. It is the responsibility of the medical professional to practice with their Practice Act, utilize their expertise and professional judgement when determining the best use/validity of the material.
Acceptance of Terms North American Seminars, Inc. is the owner and operator of the Healthclick website located at www.healthclick.com PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY GOVERN YOUR USE OF THE SITE AND SERVICES, PARTICULARLY (LIMITS OF LIABILITY), WHICH AFFECTS YOUR RIGHTS IN THE EVENT OF A DISPUTE BETWEEN US.
Access to and the use of the Healthclick website is subject to your acceptance of the terms and this agreement. By assessing the healthclick website and by your continued use, you agree to abide by all the terms and conditions of this agreement.
Modifications to Terms of Service: We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. When we make a change to our Terms of Service, we will post those changes on our website at www.healthclick.com. Those changes will be effective immediately upon posting. Your continued use of the website and services after the update constitutes your acceptance of the new Terms of Service.
1.0 North American Seminars, Inc. Terms of Service, Limits of Liability and cancellation policies.
1.1 Live continuing education courses cancellation must be submitted with written notice and received 14 days prior to the course date. Refunds and transfers minus the deposit fee of $75.00 are provided until 14 business days prior to the course date. No refunds will be issued if notice is received after 14 days prior to the course date. North American Seminars Inc reserves the right to cancel any course and will not be responsible for any charges incurred by the registrant due to cancellation..A full course tuition refund will be issued if NAS cancels the course. NAS reserves the right to change a course date, location or instructor. No refund will be issued if the course is in progress and is interrupted by an Act of War or God or issue beyond our control. NAS, Inc. will not be responsible for any participant expenses other than a course tuition refund for course cancellations.
Should a medical emergency prevent your course attendance within the two weeks prior to a course, North American Seminars, Inc will consider an exception to this policy. We requiremedical documentation of the event. Based upon documentation and a one month review time,we may provide a 6 month credit on file to a future course less an administrative fee to bedetermined based upon the individual situation.
1.2 Individually purchased online course cancellations must be submitted with written notice through our help system. Refunds and transfers requests must be submitted within 24 hours. Online courses should be reviewed for accuracy, appropriateness of material and content for your license within 24 hours, we do not issue refunds for online courses after 24 hours from purchase. No refund or transfer can occur within the 24 hours if the online test has been accessed or material has been downloaded.
1.3 Recurring Subscriptions: If you select a Service with an auto-renewal feature you authorize North American Seminars, Inc. to maintain your account information and charge that account automatically upon the renewal of the Service you choose with no further action required by you. In the event that North American Seminars, Inc is unable to charge your account as authorized by you when you enrolled in a Recurring Subscription, we may at our discretion, bill you for your Service through US Mail and/or suspend your access to the Service until payment is received. North American Seminars, Inc, may also seek to obtain billing authorization for your credit card through your bank or payment processor. North American Seminars, Inc. may change the price for Recurring Subscriptions from time to time and will communicate any price changes to you in advance and, if applicable, how to accept those changes. Price changes for Recurring Subscriptions will take effect at the start of the next subscription period following the date of the price change. As permitted by local law, you accept the new price by continuing to use your Recurring Subscription after the price change takes effect. If you do not agree with the price changes, you have the right to reject the change by cancelling your Recurring Subscription before the price change goes into effect. You may cancel Your subscription at any time. In order to prevent charges for the next automatic, recurring annual subscription charge, your cancellation of that next year must be made by three (3) days prior to your scheduled renewal date. Payments are nonrefundable and there are no refunds or credits for partially used periods. You may cancel a Recurring Subscription at any time, but if you cancel your subscription before the end of the current subscription period, we will not refund any subscription fees paid to North American Seminars, Inc. After any cancellation, you will continue to have access to the service through the end of your current subscription period. If you subscribed on our website, you can cancel by going to your myhealthclick account, and then follow the onscreen instructions to cancel the subscription.
1.4 Online Registration Terms and Conditions are conditional to receipt of payment and medical professional status validation. By completing the credit card portion of the online registration, you agree to allow North American Seminars, Inc, the ability to charge your credit card for the amount of the course and any additional items added to your registration.
1.5 Hotel Booking through Healthclick.com. As a courtesy, North American Seminars, Inc. provides links to hotels in the area of the live courses. Customers are advised to book refundable hotel rates in the event that travel plans, for whatever reason, may change. North American Seminars, Inc is not responsible for hotel charges incurred by course participants. North American Seminars, Inc also grants myhealthclick account holders the ability to use the hotel discounts for personal use not related to course attendance (vacations, personal trips etc).
2.0 Access to online services requires a broadband connection and a computing device with the latest internet browser. Accessing video content with a mobile connection is possible, but not optimal; for mobile devices, we recommend a broadband wireless connection. North American Seminars, Inc, is not responsible for outages/downtime of our website and will make every effort should such downtime exist to restore services as quickly as possible.
2.1 Each user must have their own individual user account. It is a violation of this agreement for users to share or use another user's account. The user is fully responsible for any and all activities that occur under your password or account, and it is your responsibility to ensure that your password remains confidential and secure. Notify North American Seminars, Inc. of any unauthorized use of your password or account or any other breach of security, and ensure that you exit (log out) from your myhealthclick account at the end of each session when accessing the Service.
3.0 LIMITS OF LIABILITY FOR NORTH AMERICAN SEMINARS, INC., dba healthclick.com, and its instructors and/or agents.
North American Seminars, Inc., dba healthclick.com attempts to maintain and distribute the most accurate, up to date, evidence-based information, however, under no circumstances with North American Seminars, Inc. be liable for any content, or loss or damage of any kind associated in any manner with the use of the material, services, instruction on this website or in any course, online, webinar or with physical live attendance. THE USE OF THIS WEBSITE AND ITS SERVICES AND COURSES IS ENTIRELY AT YOUR OWN RISK, AND IN NO EVENT SHALL NORTH AMERICAN SEMINARS, INC OR ANY OF ITS INSTRUCTORS OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ANY OTHER MONETARY OR OTHER DAMAGES, FEES, FINES, PENALTIES, OR LIABILITIES ARISING OUT OF OR RELATING IN ANY WAY TO THE NORTH AMERICAN SEMINARS SERVICES, AND/OR CONTENT OR INFORMATION PROVIDED HEREIN. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO STOP USING THE SERVICE.
3.1 LIMITS OF LIABILITY AGREEMENT - At first log in or when changes are made to our policies, the user will be presented with an agreement detailing the use of the services on this website and/or live course attendance. This agreement must be agreed to prior to accessing any of the services from North American Seminars, Inc. provided after user registration and access to the user’s myhealthclick account. The contents of this release are detailed as follows and are subject to modification. You, being over the age of 18 and a licensed or certified medical professional, and in consideration of being permitted to participate in any or all of the program activities, online course, live hands on courses or products and services of North American seminars, Inc., do, for yourself, your spouse, your heirs, executors, administrators, successors and assigns, hereby fully release and forever discharge North American Seminars, Inc., its and/or their respective heirs, executors, administrators, successors and assigns, any of its chapters, sponsors, groups, or representatives of and from any and all actions, causes or right of action, suits, damages, judgments, executions, claims and demands whatsoever, either in law or equity, by reason of any matter, cause or thing whatsoever, known or unknown, from the beginning of the world to the end of time, arising from any accident, injury, death or property damage whatsoever related to, resulting from, or in any way connected with, participating in any or all of the activities scheduled, use of any products or services (including online courses, webinars, live courses, software products and subscription services) by North American Seminars, Inc. You intend this express assumption of Risk-Waiver & Release of Liability to be effective whether or not any loss, damage, injury, or death results from negligence, omissions of material or procedure set forth by North American Seminars Inc, and/or its agents. You understand that, as a healthcare professional, You are totally responsible for your actions in the treatment of patients and the use of the material presented in any and all products and services offered by North American Seminars, Inc. You also understand that even after commencement of the medical education program you agree to cease use of the program or course, if you believe that the information presented is beyond your current scope of practice or is beyond your ability to comprehend its appropriate application in the clinical setting submit a support ticket and we will make an accommodation. If you are at a live course attendance, notify the instructor in writing during the course. This release contains the entire agreement between the parties hereto, shall not be altered except in writing, signed by both parties, and shall be considered a contractual agreement, and not a mere recital, and the parties hereby agree that this Express Assumption of Risk, Waiver & Release of Liability shall be agreed to by a user of the products and services offered by North American Seminars, Inc. or its agents. In addition, you understand that additional releases of liability are required to register and attend live or online training courses offered through North American Seminars, Inc, or its agents. AS A LICENSED MEDICAL PROFESSIONAL, YOU ARE RESPONSIBLE FOR THE USE OF THE INFORMATION PRESENTED IN THIS COURSES AND HOW THAT INFORMATION AND/OR TECHNIQUES AND TREATMENT METHODS ARE APPLIED TO THE SPECIFIC ISSUE OF YOUR PATIENTS.
3.2 State approvals for Re-licensure. North American Seminars, Inc. makes every effort to ensure that our courses are approved by the state licensing boards for re-licensure. North American Seminars, Inc., and its agents shall not be held liable for any damages arising, directly or indirectly, from the use of approval information provided by our website or North American Seminars, Inc., including damages arising from inaccuracies, omissions, or errors. No warranty shall exist on the validity of the course certificates provided to users upon completion of a course. North American Seminars, Inc. disclaims all liability resulting from a state's denial of a course's approval status for re-licensure. It is solely the responsibility of the user to ensure that courses meet the requirements they need to satisfy licensing board re-licensure requirements.
4.0 Ownership of Content North American Seminars, Inc. owns all images, videos, and written content on the website, healthclick.com, and in all its online training courses. North American Seminars, Inc. and any content viewed through our Service, is solely for your personal and non-commercial use. With regard to online courses, your purchase at healthclick grants you a limited, non-exclusive, non-transferable license to access the content and view your course(s) through the Service on a streaming-only basis for the period purchased. Except for the preceding limited license, no right, title, or interest shall be transferred to you. You may not use the Service for public performances or for groups greater than two people without a group license. We may revoke your license at any time at our sole discretion. Upon such revocation, you must promptly destroy all content downloaded (manuals, videos etc.) or otherwise obtained through the Service in accordance with these Terms of Service or otherwise.
4.1 Copyright Complaints - North American Seminars, Inc. respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please notify us by US MAIL at:

5.0 Trademarks North American Seminars, Inc. is the owner of several U.S. trademarks. It is our responsibility to ensure that our trademarks are not used in a manner inconsistent with our terms of trademark use. We do not grant the use of our trademarks without express written permission. North American Seminars, Inc is required by U.S. law to police the use and potential misuse of our trademarks. North American Seminars, Inc, trademarks include, but are not limited to, the registered marks: i. North American Seminars ii. Healthclick iii. The Running Course iv. Elomotus v. Responsible CME and vi. healthclick
6.0 For Products and Services that require payment, You agree to select a payment option and provide North American Seminars, Inc. correct and accurate information regarding your credit card or other payment option. You will update your account information with any changes in your billing address or credit card expiration date. You agree to pay North American Seminars, Inc. the appropriate amount due for the Products and Services you have chosen to purchase. Pursuant to this purchase, you authorize North American Seminars, Inc, to bill your payment method. North American Seminars, Inc. reserves the right to change its prices. The most current price for a product or service is listed on our website at healthclick.com and supersedes any printed material or promotional email you may have received. You shall be responsible for all taxes associated with the Products and Services.
7.0 COVID-19 or Virus related issues. North American Seminars, Inc. requires that all live course attendees agree to all COVID related requirements provided in writing to you prior to the commencement of a live course. These requirements will be based on the current CDC guidelines, specific medical facility requirements and North American Seminars instructions. Our goal is to provide a safe environment for all participants, instructors and guests.
8.0 Binding Arbitration; Class Action Waiver You and North American Seminars, Inc. agree that these Terms of Service affect interstate commerce and that the U.S. Federal Arbitration Act governs the interpretation and enforcement of these arbitration provisions. If you have any dispute with North American Seminars, inc, or its agents, you agree that before taking any formal action, you will contact us at North American Seminars, Inc., 2000 Mallory Lane #130-67 Franklin, TN 37067 or by submitting a support ticket. In this contact you agree to provide an overview in writing of the dispute and your contact information (including your username, if your dispute relates to an account). Except for intellectual property and small claims court claims, the parties agree to use their best efforts to settle any dispute, claim, question, or disagreement directly through discussion and good faith negotiations prior to either party initiating a lawsuit or arbitration. Any disputes not resolved in this manner will be resolved through arbitration using an authorized representative of the American Arbitration Association. YOU UNDERSTAND AND AGREE THAT THE ABOVE DISPUTE PROCEDURES SHALL BE YOUR SOLE REMEDY IN THE EVENT OF A DISPUTE BETWEEN YOU AND NORTH AMERICAN SEMINARS, INC REGARDING ANY ASPECT OF THE PRODUCTS AND SERVICE OFFERED AND THAT YOU ARE WAIVING YOUR RIGHT TO LEAD OR PARTICIPATE IN A LAWSUIT INVOLVING OTHER PERSONS, SUCH AS A CLASS ACTION.
9.0 North American Seminars may conduct email marketing and provide course communication information to the e-mail address you provided, you will have the opportunity to opt out from receiving additional marketing from our organization via email. Your course confirmation for your online course registration will be sent via e-mail to the e-mail address provided.
10.0. Termination You agree that North American Seminars, Inc., in its sole discretion, may suspend or terminate your account (or any part thereof) or use of the Service and remove and discard any content within the Service, for any reason, including, without limitation, for lack of use or if North American Seminars, Inc. believes that you have violated or acted inconsistently with the letter or spirit of these Terms of Service. You agree that any termination of your access to the Service under any provision of this Terms of Service may be effected without prior notice, and acknowledge and agree that North American Seminars, Inc. may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service. Further, you agree that North American Seminars, Inc. will not be liable to you or any third party for any termination of your access to the Service. Upon termination of your account, You agree to destroy any materials that you have downloaded or obtained from North American Seminars, Inc.
11.0. General These Terms of Service constitute the entire agreement between you and North American Seminars, Inc. and govern your use of the information on the website. As previously stated, all users must also complete a Release of Liability Agreement at first login to their myhealthclick account. You also may be subject to additional terms and conditions based upon your specific use of products and services.
12.0 Severability: If any term, clause, or provision hereof is held invalid or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or operation of any other term, clause, or provision, and such invalid term, clause, or provision shall be deemed to be severed from the Agreement.
The validity, construction and effect of this contract and any and all extensions and/ormodifications thereof shall be governed by the law of the State of Tennessee. Any action between the parties arising from this agreement shall be maintained in the courts of Williamson County, Tennessee.
